NugVue End User License Agreement (EULA)

PLEASE READ THIS END USER LICENSE AGREEMENT (“AGREEMENT”) CAREFULLY BEFORE USING THE NUGVUE MOBILE APPLICATION (“APP”) OR RELATED SERVICES.

This Agreement is a legal contract between you (“User,” “You,” or “Your”) and NugVue LLC. (“NugVue,” “We,” “Us,” or “Our”) governing your use of the NugVue mobile application and related services (the “Services”). By downloading, installing, or using the App, you agree to be bound by this Agreement. If you do not agree, you must immediately discontinue use of the App.

§1. License Grant & Restrictions

1.1 License Grant

NugVue grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App on a compatible mobile device solely for personal, non-commercial purposes.

1.2 Restrictions

• Copy, modify, distribute, or create derivative works of the App.
• Reverse engineer, decompile, or attempt to extract source code from the App.
• Use the App for any unlawful, fraudulent, or unauthorized purpose.
• Sell, sublicense, rent, or lease access to the App.
• Interfere with or disrupt the App, servers, or networks connected to the Services.
• Use automated scripts, bots, or data mining tools to access or collect data from the App.

We reserve the right to terminate this license if you violate any of these terms.

§2. Account Registration & Responsibilities

2.1 Account Creation

To use certain features of the App, you must create an account. You agree to:

• Provide accurate and complete registration information.
• Maintain the confidentiality of your login credentials.
• Be responsible for all activity occurring under your account.

2.2 Account Termination

NugVue reserves the right to suspend or terminate your account at any time for violations of this Agreement or any misuse of the Services.

§3. User-Generated Content

3.1 Your Responsibility

The App allows users to submit reviews, high thoughts, comments, and other user-generated content (“User Content”). By submitting content, you affirm that:

• You own or have rights to the content.
• Your content does not infringe on third-party rights or violate laws.
• Your content is not defamatory, obscene, hateful, abusive, threatening, or illegal.

3.2 License to Use Your Content

By posting content on NugVue, you grant us a worldwide, royalty-free, perpetual license to use, distribute, modify, display, and reproduce your User Content in connection with the Services.

3.3 Content Removal

We reserve the right to remove or restrict any User Content that violates this Agreement or is otherwise objectionable.

§4. Privacy & Data Collection

By using the App, you acknowledge and agree to the NugVue Privacy Policy, which explains how we collect, use, and share your personal information.

§5. Intellectual Property Rights

NugVue retains all ownership rights, title, and interest in and to the App, including all software, trademarks, logos, and content. This Agreement does not grant you any ownership rights or interest in the App.

§6. Disclaimers & Limitation of Liability

6.1 No Warranties

The App is provided “AS IS” and “AS AVAILABLE” without any warranties.

6.2 Limitation of Liability

To the fullest extent permitted by law, NugVue shall not be liable for any indirect, incidental, special, or consequential damages.

§9. Governing Law & Dispute Resolution

This Agreement is governed by the laws of the State of Washington, USA, without regard to its conflict of law principles.

10.1 Arbitration Clause

Any disputes arising out of this Agreement shall be resolved through binding arbitration in Washington, USA, under the rules of the American Arbitration Association (AAA).

You waive any right to class action lawsuits and agree to resolve disputes individually.

§11. Miscellaneous

• Severability: If any provision of this Agreement is found to be unenforceable, the remaining provisions will continue in effect.
• Waiver: Our failure to enforce any term does not constitute a waiver of that term.
• Assignment: You may not transfer your rights under this Agreement without our consent.

By installing, accessing, or using the App, you acknowledge that you have read and agreed to this End User License Agreement (EULA).

NugVue Sweepstakes Official Rules

NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE DOES NOT INCREASE YOUR CHANCES OF WINNING. VOID WHERE PROHIBITED.

1. Sponsor(s)

The Sweepstakes (“Sweepstakes”) is sponsored by NugVue and may also be co-sponsored by additional brands as indicated in the specific sweepstakes listing on the app.

2. Eligibility

• Major Sweepstakes: Open to legal residents of the United States who are 21+ and reside in a state where cannabis-related promotions are legally permitted.
• Minor Sweepstakes: Open to legal residents of the United States and Canada who are 21+, regardless of state/province laws.
• Employees, officers, directors, and agents of NugVue, its co-sponsors, affiliates, and their immediate family members are not eligible to participate. Void where prohibited by law.

⚠ State Restrictions

Due to varying state regulations, residents of Idaho, Nebraska, South Dakota, and any other states where sweepstakes of this nature are restricted are not eligible to enter.

3. Sweepstakes Period

The entry period for each Sweepstakes will be clearly displayed within the NugVue app. All entries must be submitted before the posted deadline.

4. How to Enter

Participants can enter by:

• Completing eligible actions within the NugVue app (e.g., submitting product reviews or other specified engagement).
• Earning Nugs as a reward for these actions.

5. Prize(s) & Restrictions

• Prizes will vary and be displayed on the NugVue app’s Sweepstakes page.
• No cannabis, THC products, or cannabis paraphernalia will be offered as prizes.
• If a travel prize (e.g., a trip to Amsterdam) is awarded, winners are responsible for taxes, travel documents (e.g., passport, visa), and any additional expenses.

Prizes are non-transferable, and no substitutions will be made except at the Sponsor’s discretion.

6. Winner Selection and Notification

Winners will be selected randomly from all eligible entries after the Sweepstakes period ends. The drawing will be conducted by NugVue or its designated representative.

• Winners will be notified via email, app notification, or other method specified in the Sweepstakes listing within 7 days after the drawing.
• If a winner does not respond within 7 days, an alternate winner may be selected.

7. General Conditions

By entering, participants agree to:

• Abide by these Official Rules and all decisions of the Sponsor.
• Provide proof of eligibility (age and residency) before claiming major sweepstakes prizes.
• Allow the Sponsor to use their name, likeness, and entry for promotional purposes without compensation, unless prohibited by law.
• Accept that the Sponsor reserves the right to disqualify any participant who tampers with the entry process or violates these rules.

8. Limitation of Liability

By participating, entrants release NugVue, its co-sponsors, and affiliated parties from any liability related to participation in the Sweepstakes or acceptance and use of any prize.

9. Governing Law

This Sweepstakes is governed by the laws of the State of Washington, USA, and any disputes will be resolved exclusively in the courts of Washington.

10. Apple Disclaimer

This Sweepstakes is not sponsored, endorsed, or administered by Apple Inc., nor is Apple associated with this Sweepstakes in any way. Participants understand that they are providing their information to NugVue and any applicable co-sponsors, not to Apple.
